TERMS AND CONDITIONS

WHEN YOU ARE ENTITLED TO USE THE “PAYMENTS” SERVICE

We call the payment processing product that we provide under these terms the “Payments”.

To use the Services, you must have, and continue to have, an https://eshepay.io/ account. To use the Services, you must also apply to, undergo verification, and be accepted by us. If you are a business customer and your application is accepted, we will activate your account.

WHAT INFORMATION DO YOU NEED TO PROVIDE

To apply to use the Services as either a Business or an Individual, we may request the following information:

Chargeback ratio and dispute history (if required for account review)

You must promptly notify us if information changes, becomes incomplete/outdated, or if there are significant business changes (within 15 business days)

Third-party checks

We may retrieve information from service providers, relevant to services provided by ESHE Pay ie., banking, identity, business status, (you consent by accepting the Terms)

By agreeing to these Terms, you consent to us retrieving this information and agree to provide reasonable assistance to obtain it.

After your account is opened, we may request additional or updated information and conduct periodic reviews. You must notify us promptly if any information becomes inaccurate or if there are significant changes to your business within 15 business days.

We may activate, deactivate, or restrict your account or services based on these reviews.

When using certain payment methods, we may share necessary information with our partners to facilitate those services.

WHAT CAN YOU (AND CAN’T YOU) USE THIS PAYMENT PROCESSING PRODUCT FOR?

The Services are intended solely for sending and accepting payments from individuals P2P and cross-border or P2P and cross-border businesses purchasing your goods or services within the scope of your legitimate business activities.

You must use the Services lawfully and in compliance with all applicable international and domestic laws, payment system rules, and regulatory requirements.

You may only use the Services on your own behalf. You are responsible for all actions taken through your account.

If you breach these Terms, applicable law, or expose us to unacceptable risk, we may suspend or terminate your Services immediately.

YOU MAY NOT:

(i) use bots, crawlers, scripts, or automated tools to access or scrape https://eshepay.io/;
(ii) access Services without authorization or attempt hacking or password mining;
(iii) probe or test system vulnerabilities;
(iv) track or collect information on other users;
(v) impose unreasonable loads on ESHE Pay systems;
(vi) interfere with the normal operation of the Services;
(vii) forge headers or impersonate identities; or
(viii) use the Services in any illegal manner.

WHAT TYPES OF TRANSACTIONS CAN YOU PROCESS?

You may not process Illegitimate Transactions, including transactions that are:

  • fraudulent, suspicious, or unauthorized;
  • inaccurate or incomplete;
  • not within the scope of your business;
  • illegal or in breach of these Terms.

You may not use the Services for Restricted or Prohibited Purposes , including activities involving sanctioned countries, persons, or entities, or businesses prohibited by our Acceptable Use Policy.

SELLER OBLIGATIONS – HOW YOU MUST TREAT YOUR CUSTOMERS

You are solely responsible for your relationship with your customers, including:

  • product or service quality;
  • delivery, refunds, disputes, and chargebacks;
  • compliance with consumer protection laws.

We do not provide customer support for your products or services.

You must:

  • clearly describe charges;
  • provide customer contact details;
  • disclose material terms;
  • not engage in deceptive practices;
  • inform customers that ESHE Pay Corp. processes transactions;
  • maintain fair refund and cancellation policies.

FEES, COSTS, AND LIMITS

Subscription Plans

ESHE Pay offers Business, Business+, and Premium subscription tiers. Fees are determined on a case-by-case basis and may be modified with prior notice.

Account Fees May Include:

  • Application and due diligence fees (non-refundable);
  • Monthly service fees;
  • Priority request handling.

Transfer & Processing Fees:

  • Internal transfers;
  • SEPA incoming/outgoing;
  • International wire transfers;
  • Currency exchange fees.

We reserve the right to modify fees, with notice. Continued use constitutes acceptance.

PAYOUTS AND SETTLEMENT

You appoint ESHE Pay Corp. as your agent to process, receive, hold, and settle transaction proceeds.

Funds are settled into your designated ESHE Pay account(s), which may support multiple currencies.

Exchange rates and fees are determined at the time of transaction or reversal.

SECURITY INTERESTS

You grant us a security interest in funds processed through the Services to cover amounts owed to us or third parties. We may debit your account to recover such amounts if necessary.

Failure to cooperate may result in termination of Services.

DISPUTES, RETURNS, AND REFUNDS

Transactions may be disputed or reversed. We are not liable for disputed or reversed transactions.

Funds may be frozen or reversed for AML compliance or suspected illegitimate activity.

You may submit evidence to challenge disputes, but outcomes are not guaranteed.

PAYMENT METHODS AND MERCHANT-INITIATED TRANSACTIONS

Additional terms may apply to specific payment methods.

Merchant-initiated transactions require express permission and documented customer consent, clear subscription terms, advance notifications, and easy cancellation mechanisms.

DATA PROTECTION OBLIGATIONS

Both parties agree to comply with applicable data protection laws.

ESHE Pay may act as:

  • a processor when providing Services; or
  • a controller for compliance, fraud prevention, analytics, and legal obligations.

You warrant that you have obtained necessary consents and safeguards for customer data.

SECURITY OBLIGATIONS (PCI-DSS)

You must comply with PCI-DSS standards and provide proof upon request.

Failure to comply may result in suspension or termination.

ESHE Pay maintains PCI-DSS–aligned security practices.

INDEMNITY AND LIABILITY

You indemnify ESHE Pay Corp. and its affiliates against losses arising from:

  • breaches of these Terms;
  • disputes and chargebacks;
  • legal or regulatory violations;
  • misconduct by your personnel.

Our total liability is limited to 50% of maintenance fees paid in the preceding three months, or zero if no fees were paid.

DISCLAIMERS

Services are provided “as is” without warranties.

We do not guarantee uptime, error-free operation, transaction completion, or settlement times.

We are not liable for indirect, incidental, or consequential damages.

GENERAL LEGAL TERMS

Nothing in these Terms creates a partnership or agency relationship.

This Agreement constitutes the entire agreement between the parties.

ANNEX 1 – DATA PROCESSING ADDENDUM

Where ESHE Pay processes Customer Personal Data as a processor, it will:

  • act only on documented instructions;
  • ensure confidentiality;
  • implement appropriate security measures;
  • assist with data subject requests;
  • notify you of data breaches without undue delay;
  • securely delete or return data upon termination, unless retention is legally required.
